1. Changes to these Terms

1.1 Please note that these Terms may change from time to time. We reserve the right to modify or amend these Terms. While we will make reasonable efforts to keep you posted on any updates to these Terms, to make sure that you are aware of any changes, we encourage you to periodically review them whenever accessing or using the Platform to be continuously aware of the changes that we may be carrying out to these Terms.

1.2 The "Last Updated" date at the top of the Terms indicates when the most recent modifications were made to the Terms. In the event we modify these Terms, by continuing to access and use the Platform, you will have confirmed your acceptance to any such modifications. Your continued use will be adequate proof that you have expressly agreed to these terms which shall apply from the date of such continued use. In addition, when using the Platform, you will be subject to any posted guidelines, supplementary terms, policies, or disclaimers made available or issued by us from time to time, including but not limited to the Privacy Policy available at Privacy Policy. All such supplementary terms, policies, guidelines or disclaimers are hereby incorporated by reference into these Terms.

2. Definitions

"We," "Us," "Our," "EventsMonial" shall refer to EventsMonial, a technology platform operated from Kolkata, India.

"Platform" shall mean the EventsMonial website, mobile applications, and all associated services, tools, and features.

"Vendor" shall mean any service provider (caterer, decorator, photographer, venue operator, etc.) listed on the Platform.

"You," "User," "Customer" shall mean any user seeking or booking the services of the Vendors via the EventsMonial platform.

"Vendor Services" shall mean event-related services offered by Vendors through the EventsMonial Platform.

"Booking" shall mean request, reservation, engagement, or confirmed arrangement for Vendor Services initiated through the Platform.

"Inquiry" shall mean a request for information, quotation, availability, consultation, or service details submitted through the Platform.

3. Nature of Platform - Intermediary Status

EventsMonial is strictly an online marketplace platform that enables customers to connect with independent third-party service providers offering event-related services. We do not provide, manage, supervise, control, or deliver any event services, including but not limited to catering, decoration, photography, venue booking, or event planning services. All vendors listed on the Platform are independent contractors operating their own businesses, and no partnership, agency, employment, joint venture, or fiduciary relationship is created between EventsMonial and any Vendor by virtue of their listing or use of the Platform.

EventsMonial functions as an intermediary in accordance with Section 79 of the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Consumer Protection (E-Commerce) Rules, 2020, and does not initiate, select, or modify communications or transactions between users and Vendors except as required by applicable law.

4. User Eligibility

To access or use the Platform, you must be at least eighteen (18) years of age, possess the legal capacity to enter into binding contracts under applicable Indian laws, and not be prohibited from using the Platform under any law, regulation, or court order. You further represent and warrant that all information provided by you is accurate, current, and complete. By accessing or using the Platform, you confirm that you meet these eligibility requirements and that your use of the Platform does not violate any applicable laws or contractual obligations.

5. Account Registration

Certain features of the Platform may require you to create an account. You agree to provide truthful, accurate, and complete information during such registration and to promptly update such information to ensure continued accuracy. You are solely responsible for maintaining the confidentiality of your login credentials and for all the activities carried out through your account. You agree to notify EventsMonial immediately upon becoming aware of any unauthorized access to or use of your account. EventsMonial shall not be liable for any loss or damage arising from your failure to safeguard your account credentials or from any unauthorized use of your account.

6. Platform Services

We provide a platform for users to search for Vendors, view Vendor profiles and portfolios and submit inquiries with Vendors for the purpose of exploring and arranging event-related services. The Platform facilitates the submission of inquiries and enables users to connect with independent Vendors. EventsMonial does not process, collect, hold, receive, or facilitate payments between Users and Vendors. Any payments for Vendor services are arranged and made directly between the User and the Vendor, and EventsMonial is not a party to such transactions.

We, however, do not provide event planning, event execution, or any Vendor services, does not guarantee Vendor availability, pricing, quality, or outcomes, and does not provide insurance, service warranties, or protection against Vendor non-performance. EventsMonial does not act as an arbitrator or mediator in disputes between customers and Vendors, except to the limited extent of facilitating communication where appropriate.

You acknowledge that you are solely responsible for evaluating the suitability, credentials, quality, legality, and fitness of any Vendor for your specific requirements. This includes independently verifying licenses, permits, insurance coverage, regulatory compliance, pricing, availability, and service terms prior to engagement. EventsMonial may, at its discretion, collect and review certain documents, including government issued identification documents, licences, permits, registrations, or other information from Vendors for onboarding, verification, compliance, or platform administration purposes. Such verification is limited in scope and should not be construed as a guarantee, endorsement, certification, recommendation, warranty, or representation regarding a Vendor's competence, service quality, reliability, legal compliance, financial standing, suitability, or continued eligibility to provide services. Users remain solely responsible for independently evaluating and satisfying themselves regarding the suitability of any Vendor before engaging their services.

The Platform may display, rank, sort, filter, categorise, feature, or otherwise present Vendors using various criteria, including but not limited to user reviews, ratings, responsiveness, location, profile completeness, popularity, engagement metrics, membership status, promotional arrangements, or other factors determined by EventsMonial from time to time.

Any ranking, placement, badge, featured listing, search result, visibility, score, or categorisation of a Vendor is provided solely for informational and discovery purposes and shall not constitute an endorsement, certification, recommendation, guarantee, warranty, or representation by EventsMonial regarding the quality, suitability, competence, reliability, legality, safety, availability, or performance of any Vendor or the services offered by such Vendor.

7. Use of Platform

You agree to use the Platform solely for lawful purposes and in accordance with these Terms. You shall not misuse the Platform, interfere with its operation or security, attempt unauthorized access, use automated tools without permission, post false or misleading content, impersonate others, harass users or Vendors, or engage in conduct that violates applicable laws or third-party rights.

Following the introduction of a User and Vendor through the Platform, all discussions relating to pricing, availability, service terms, contracts, payments, performance, cancellations, refunds, and service delivery shall take place directly between the User and the Vendor. EventsMonial shall not be a party to such arrangements.

8. Bookings, Inquiries & Lead Sharing

When you submit an inquiry through the Platform, you authorize EventsMonial to share the information provided by you, including your event requirements, preferences, contact details, and any supporting information submitted by you, with one or more Vendors selected by EventsMonial based on factors such as service category, location, availability, membership status, profile quality, ratings, responsiveness, or other platform criteria.

You acknowledge and agree that, upon such sharing, Vendors may contact you directly through telephone calls, emails, messaging applications, or other communication methods for the purpose of responding to your inquiry and discussing potential services.

EventsMonial's role is limited to facilitating the introduction between Users and Vendors. Once a Vendor receives your inquiry, all discussions relating to pricing, availability, service terms, contracts, payments, performance, cancellations, refunds, and service delivery shall take place directly between you and the Vendor. EventsMonial is not a party to any agreement entered into between a User and a Vendor.

You may withdraw your consent for future sharing of inquiry related information at any time. Such withdrawal shall not affect information already shared with Vendors prior to the withdrawal or any ongoing discussions, bookings, or arrangements already initiated.

Any agreement, booking, engagement, quotation, proposal, contract, arrangement, or transaction entered into between a User and a Vendor shall be solely between such User and Vendor. EventsMonial is not a party to such agreement and assumes no responsibility for the performance, non-performance, breach, cancellation, quality, legality, or outcome of the Vendor Services.

9. Payment Terms

EventsMonial does not collect, receive, process, hold, facilitate, or manage payments between Users and Vendors. Any payments relating to Vendor services, including deposits, advances, booking amounts, balances, refunds, or other charges, shall be arranged and made directly between the User and the Vendor. EventsMonial is not a party to such transactions and shall bear no responsibility or liability in relation thereto.

Users are solely responsible for conducting their own due diligence before making any payment to a Vendor. Vendors are solely responsible for issuing invoices, collecting payments, handling refunds, and complying with all applicable tax, accounting, and regulatory obligations.

EventsMonial is not a party to any transaction between a User and a Vendor and shall not be liable for any payment dispute, refund claim, cancellation, charge, loss, fraud, or non-performance arising from such transactions.

10. Cancellations & Refunds

All cancellations and refunds relating to Vendor services are governed exclusively by the policies of the respective Vendors, which you are responsible for reviewing prior to booking. EventsMonial does not determine, control, or enforce Vendor refund or cancellation terms and shall not be liable for any failure by a Vendor to issue a refund.

We shall not be liable for cancellations, delays, or non-performance arising from events beyond reasonable control, including but not limited to natural disasters, pandemics, government orders, civil unrest, strikes, venue closures, or similar force majeure events. In such circumstances, any liability arising from the Vendor's services shall be governed solely by the arrangements between the User and the Vendor.

11. Reviews, Ratings & User Content

Users may post reviews, ratings, photographs, or other content after engaging Vendor services. Such content must be lawful, truthful, and based on genuine personal experience and must not contain defamatory, offensive, misleading, infringing, or harmful material, personal contact details, spam, or malicious code.

Users retain ownership of their User Content. However, by submitting User Content to the Platform, Users grant EventsMonial a worldwide, perpetual, irrevocable, royalty free, transferable, sublicensable, and non-exclusive licence to use, reproduce, store, adapt, modify, publish, display, distribute, communicate, and otherwise utilise such User Content for the operation, improvement, promotion, advertising, marketing, and administration of the Platform and its services.

We reserve the right to moderate, remove, or restrict access to any content that violates these Terms or applicable law, in accordance with the Information Technology Act, 2000 and related rules. EventsMonial does not verify the accuracy of reviews and is not liable for User Content, which represents the views of individual users. Complaints regarding User Content may be submitted through the designated grievance mechanism and will be addressed within legally prescribed timelines.

12. Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to the website design, layout, user interface, software, source code, object code, algorithms, databases, artificial intelligence systems, recommendation engines, machine learning models, prompts, workflows, software tools, and related technologies, text, graphics, images, audio, video, logos, trademarks, service marks, and all other content created or owned by EventsMonial, excluding User Content and Vendor Content, are the exclusive property of EventsMonial or its licensors and are protected under applicable intellectual property laws.

You shall not copy, reproduce, modify, distribute, publish, transmit, display, create derivative works from, reverse engineer, decompile, disassemble, or otherwise exploit any part of the Platform or its content without the prior written consent of EventsMonial. Any unauthorized use of the Platform or its intellectual property may result in termination of access and legal action under applicable law. Any unauthorised use of the Platform or its intellectual property shall attract civil and criminal remedies under applicable law.

13. Limitation of Liability

To the fullest extent permitted under applicable Indian law, EventsMonial's total aggregate liability to you for any claims, losses, damages, or causes of action arising out of or relating to your use of the Platform or these Terms shall not exceed INR 10,000 (Rupees Ten Thousand Only). Nothing contained herein shall limit or exclude liability to the extent such limitation is prohibited under the Consumer Protection Act, 2019 or other applicable laws.

EventsMonial shall also not be liable for any loss or damage arising from the acts, omissions, negligence, misconduct, non-performance, delays, cancellations, or failures of Vendors, third-party services, unauthorized access to your account, force majeure events, or reliance upon vendor rankings, scores, reviews, ratings, listings, profile information, testimonials, photographs, portfolios, availability information, pricing information, or any other information made available on the Platform.

The Platform and all its services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, uninterrupted operation, or security. You acknowledge that the limitations and exclusions set out in this section form an essential basis of the agreement between you and EventsMonial, and that EventsMonial would not provide access to the Platform without these limitations.

14. Indemnification

Notwithstanding anything contained in these Terms, you agree to defend, indemnify and hold harmless EventsMonial, its affiliates, officers, directors, employees, agents and licensors from and against any claims, actions, proceedings, losses, liabilities, damages, penalties, costs or expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your breach of these Terms, your violation of any applicable law, or any content, information or material submitted by you.

This obligation shall also apply to claims arising from your negligent, fraudulent or wilful acts, commissions or omissions, unauthorised or unlawful use of the Platform, attempts to bypass platform processes, or disputes, claims, complaints, investigations, proceedings, or liabilities arising from your interactions, agreements, communications, transactions, or dealings with Vendors.

The indemnity set out above shall survive termination or expiry of these Terms and your cessation of access to the Platform.

15. Privacy & Data Protection

Your use of the Platform is governed by EventsMonial's Privacy Policy, which is incorporated into these Terms by reference and forms an integral part hereof. EventsMonial processes personal data in accordance with the Digital Personal Data Protection Act, 2023 and applicable rules, and acts as a Data Fiduciary in respect of personal data collected through the Platform.

By accessing or using the Platform and by submitting inquiries or information, you expressly consent to the collection, use, storage, processing, and sharing of your personal data with relevant Vendors and service providers in accordance with the Privacy Policy. EventsMonial implements reasonable technical and organizational security measures to safeguard personal data; however, you acknowledge that no system is completely secure and that transmission of information over the internet involves inherent risks.

In the event of a personal data breach requiring notification under applicable law, EventsMonial shall notify the Data Protection Board of India and affected Data Principals within such time and in such manner as may be prescribed, and shall take reasonable remedial measures as required by law.

15.1 Artificial Intelligence Features

The Platform offers artificial intelligence powered tools, assistants, planners, chatbots, recommendation systems, or similar features ("AI Features"), including the EventsMonial planning assistant known as "MONI". AI Features may utilize technology provided by EventsMonial and/or third-party artificial intelligence service providers.

Users are advised not to submit sensitive personal information, financial information, government identification details, passwords, health information, or any other confidential information through AI Features unless expressly requested and authorised by EventsMonial.

The User acknowledges and expressly consents that data entered into "MONI" may be processed through these third party artificial intelligence service providers engaged by EventsMonial. EventsMonial may employ technical measures intended to reduce the transmission of explicit personal identifiers to third party AI systems; however, Users remain responsible for the information they voluntarily submit through AI Features.

Responses generated through AI Features are automated, may contain inaccuracies, omissions, or errors, and are provided solely for informational and planning purposes. AI-generated content does not constitute professional, legal, financial, event-planning, or other advice and should not be relied upon as the sole basis for decision-making.

Any recommendations, suggestions, rankings, matches, scores, search results, listings, or other outputs generated by AI Features are produced through automated processes based on information available to the Platform and are provided solely for informational and planning purposes. Such outputs do not constitute EventsMonial's independent assessment, verification, endorsement, recommendation, certification, guarantee, warranty, approval, or representation regarding any Vendor, service provider, product, service, or outcome. Users remain solely responsible for conducting their own due diligence and exercising independent judgment before selecting, engaging, or relying upon any Vendor or service.

Any processing of information submitted through AI Features shall be governed by the Privacy Policy and applicable law.

16. Grievance Redressal Mechanism

EventsMonial has appointed a Grievance Officer to receive and address complaints from users in relation to the Platform, data usage, AI Features, personal data, Vendor conduct, or user-generated content. Complaints may be submitted along with relevant details or supporting information and shall be acknowledged and addressed within the timelines prescribed under applicable law.

EventsMonial may review complaints and take appropriate platform level actions, including content moderation, suspension, restriction, warning, or removal of accounts where appropriate. However, EventsMonial does not act as a court, arbitrator, mediator, regulator, or adjudicating authority and cannot compel Vendors to perform services, issue refunds, pay compensation, honour contractual obligations, or otherwise resolve disputes between Users and Vendors.

17. Termination

You may terminate your account at any time by following the prescribed process. EventsMonial may suspend or terminate access immediately where you violate these Terms, engage in unlawful, fraudulent or abusive conduct, post prohibited content, or where required by law or operational necessity. Upon termination, your right to access the Platform ceases immediately, certain data may be retained as required by law, outstanding obligations survive, and provisions relating to intellectual property, liability, indemnity, and dispute resolution shall continue to apply.

18. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Subject to applicable law, the courts at Kolkata, West Bengal shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform.

Before initiating any legal proceedings, the parties shall make reasonable efforts to resolve the dispute amicably.

19. General Provisions

19.1 Entire Agreement and Amendments: These Terms, together with the Privacy Policy available here Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and EventsMonial with respect to your use of the Platform and supersede all prior or contemporaneous agreements, understandings, or communications.

19.2 Severability and Waiver: If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions. Any failure or delay by EventsMonial in enforcing any right or provision under these Terms shall not operate as a waiver of such right or provision, nor shall any partial exercise of any right or remedy prevent its further exercise.

19.3 Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of EventsMonial. EventsMonial may assign its rights and obligations under these Terms to any third party, including in connection with a merger, acquisition, reorganization, or sale of assets. Nothing contained in these Terms shall be construed as creating any partnership, agency, joint venture, employment, fiduciary, or representative relationship between you and EventsMonial.

19.4Force Majeure: EventsMonial shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, public health emergencies, war, terrorism, riots, civil unrest, government orders or restrictions, labor disputes, power or internet failures, or cyber incidents. During the continuance of such force majeure events, EventsMonial's obligations shall stand suspended to the extent affected.

19.5 Notices, Language, and Interpretation : Any legal notices to EventsMonial shall be sent to the contact details provided on the Platform, and notices to you may be communicated via email, in-app notifications, or posting on the Platform. These Terms are drafted in the English language, and in the event of any inconsistency between the English version and any translated version, the English version shall prevail. Section headings are included for convenience only and shall not affect the interpretation of these Terms.

20. Acknowledgment

By accessing or using the Platform, you acknowledge that you have read and understood these Terms and agree to be bound by them. You further acknowledge that EventsMonial operates solely as a technology intermediary and that any services availed through the Platform are provided by independent Vendors. If you do not agree to these Terms, you must not use the Platform.
