Vendor Terms of Use

This Document is an Electronic Record in accordance with provisions of the Indian Information Technology Act, 2000 and Rules made thereunder as applicable and as amended from time to time. This electronic record is generated by a computer system and does not require any physical or digital signatures. These Terms are published in accordance with the provisions of Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 framed under the IT Act (as amended from time to time), that require publishing the terms of services and practices for access or usage of Platform and Services. These Terms constitute a binding and legally enforceable contract between EventsMonial and the "Vendor" (as defined below). By registering on or using the Platform or availing the Services, you acknowledge that you have read, understood and agree to these Terms. If you do not agree to these terms of use, you are not entitled to avail of/use the EventsMonial Platform and any use thereafter shall be deemed unauthorised.

We EventsMonial ("EventsMonial", "we", "us", "the platform") are engaged in the business of providing a marketplace platform that uses technology to connect customers seeking event-related services with independent service providers ("Vendors", "Vendor", "you") such as, but not limited to caterers, decorators, photographers, venues and other event professionals. EventsMonial merely facilitates such connections through the Platform and does not itself provide the event-related services offered by Vendors unless expressly stated otherwise.

1. Changes to these Terms

1.1 Please note that these Terms may change from time to time. We reserve the right to modify or amend these Terms. While we will make reasonable efforts to keep you posted on any updates to these Terms, to make sure that you are aware of any changes, we encourage you to periodically review them whenever accessing or using the Platform to be continuously aware of the changes that we may be carrying out to these Terms.

1.2 The "Last Updated" date at the top of the Terms indicates when the most recent modifications were made to the Terms. In the event we modify these Terms, by continuing to access and use the Platform, you will have confirmed your acceptance to any such modifications. Your continued access to or use of the Platform following such modifications shall constitute your acceptance of the revised Terms. In addition, when using the Platform, you will be subject to any posted guidelines, supplementary terms, policies or disclaimers made available or issued by us from time to time, including but not limited to the Privacy Policy available at Privacy Policy. All such supplementary terms, policies, guidelines or disclaimers are hereby incorporated by reference into these Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and cease accessing Vendor services.

2. Definitions

For the purposes of these Terms, unless the context otherwise requires:

"We," "Us," "Our," "EventsMonial" shall refer to EventsMonial, the owner and operator of this technology platform.

"Platform" shall mean the EventsMonial website, mobile applications and all associated services, tools and features.

"Vendor" shall mean any service provider (caterer, decorator, photographer, venue operator, etc.) listed on the Platform.

"Customer" shall mean any user seeking or booking the services of the Vendors via the EventsMonial platform.

"Vendor Services" shall mean event-related services offered by Vendors through the EventsMonial Platform.

"Inquiry/Booking" shall mean any inquiry, request for information, request for quotation, booking request, lead, communication or other expression of interest initiated by a Customer through the Platform in relation to Vendor Services, whether or not such inquiry ultimately results in a booking, engagement, transaction or contractual relationship between the Customer and the Vendor.

"Fees" shall refer to membership fees, subscription fees, promotional fees, profile boosting fees or other amounts payable to EventsMonial for use of the Platform.

3. Nature of Platform and Intermediary Role

EventsMonial is a technology-enabled marketplace platform that facilitates connections between Customers and independent Vendors offering event-related services. EventsMonial does not provide, manage, supervise, control or deliver Vendor Services and is not a party to any agreement, transaction, arrangement or contractual relationship entered into between a Vendor and a Customer.

Vendors operate as independent businesses and are solely responsible for their services, pricing, representations, conduct, compliance with applicable laws, customer interactions and service delivery. EventsMonial does not act as an employer, principal, partner, agent, representative, contractor, guarantor, insurer or fiduciary of any Vendor.

No partnership, employment, agency, joint venture, franchise, fiduciary or other similar relationship is created between EventsMonial and any Vendor by virtue of the Vendor's use of the Platform.

4. Vendor Registration & Eligibility

To register and use the Platform as a Vendor, you must provide complete, accurate, current and truthful information regarding yourself, your business and the Vendor Services offered by you. You shall promptly update such information whenever any change occurs and shall ensure that all information provided to EventsMonial remains accurate and current at all times.

EventsMonial may require you to submit identity documents, government-issued identification, licences, permits, registrations, tax details, business information, photographs, address proofs, certifications or other documents or information as may be considered necessary for onboarding, verification, compliance, fraud prevention, risk management, platform administration or operational purposes.

You represent and warrant that all information and documents submitted by you are genuine, accurate, valid and lawfully obtained. You shall remain solely responsible for obtaining, maintaining, renewing and complying with all licences, registrations, permits, approvals, certifications, insurance policies and other legal requirements applicable to your business and Vendor Services.

EventsMonial reserves the right, at its sole discretion, to approve, reject, suspend, restrict, remove or terminate any Vendor account, listing, profile or access to the Platform where information provided is found to be false, misleading, inaccurate, incomplete, expired, unverifiable, unlawful or otherwise inconsistent with these Terms, applicable law or platform requirements.

Any review, collection, verification, assessment or acceptance of documents or information by EventsMonial shall be conducted solely for platform administration, compliance, fraud prevention, risk management, operational or business purposes and shall not constitute any certification, endorsement, approval, recommendation, guarantee, warranty or representation regarding the Vendor, Vendor Services, legal compliance, competence, reliability, suitability or continued eligibility of the Vendor.

You shall promptly notify EventsMonial of any material change affecting your business, ownership, licences, registrations, legal status, contact details, eligibility or ability to provide Vendor Services through the Platform.

5. Vendor Profile & Content Submission

The details appearing on your Vendor Profile, including but not limited to your business name, descriptions, services, pricing, photographs, videos, galleries, portfolios, contact information, credentials and any other information submitted by you, are provided entirely by you. While EventsMonial may review, moderate, collect or verify certain information or documents for onboarding, compliance, fraud prevention, risk management, operational or platform administration purposes, EventsMonial does not independently guarantee, certify, endorse or verify the accuracy, completeness, legality, reliability, quality or suitability of the information displayed on your Vendor Profile. It is therefore your sole responsibility to ensure that all information uploaded or maintained by you is accurate, current, lawful, complete and not misleading at all times.

You confirm that you either own or are authorised to use all content submitted by you and that such content does not violate the rights of any third party, including, but not limited to, intellectual property rights, privacy rights, contractual rights or statutory protections. If any objection, complaint or claim is raised in relation to your content, you agree that the same shall be addressed by you directly, without any liability being imposed on EventsMonial.

By uploading content to the Platform, you permit EventsMonial to store, display and use such material in the ordinary course of operating the Platform, such as, for presenting your services to Customers and carrying out routine promotional or administrative activities connected with the Platform. This permission is granted without charge and may continue for a reasonable period even after your Vendor account is closed, wherein retention is required for records, compliance or continuity of business.

EventsMonial reserves the right to remove or restrict access to any content where it becomes necessary to do so for legal, technical or operational reasons or where the content is found to be inconsistent with these Terms. Such removal shall not entitle you to any compensation or claim against EventsMonial.

6. Service Fulfillment & Customer Interaction

You hereby agree to provide your services in a proper, professional and lawful manner and in line with the representations made by you to the Customers. The manner in which your services are delivered, including, but not limited to, quality, timelines and conduct at the event, shall remain your sole responsibility and shall include the actions of any employees, assistants, contractors or other persons engaged by you.

It is further clarified that any service arrangement entered into is strictly between you and the Customer. EventsMonial does not participate in the negotiation or performance of such arrangements and does not assume responsibility for service delivery, outcomes or disputes arising therefrom. Any complaint or claim connected with regards to your services must be addressed by you directly with the Customer.

You shall be solely responsible for quotations, pricing, invoicing, payment collection, refunds, cancellations, taxes and all commercial arrangements entered into with Customers.

You shall not engage in conduct that is fraudulent, misleading, abusive, discriminatory or otherwise unlawful, nor shall you misrepresent your experience, pricing or availability. EventsMonial may take appropriate platform level action if such conduct is observed.

7. Fees, Memberships & Paid Services

EventsMonial offers Vendors various free and paid plans, memberships, subscriptions, premium listings, featured placements, profile enhancement services, profile boosting services, lead access services, advertising opportunities, promotional services, visibility enhancements, analytics tools, marketing services and other platform related features and services (collectively called "Membership Plans"). The features, benefits, eligibility criteria, duration, pricing, limitations and conditions applicable to any Membership Plan shall be communicated to the Vendor at the time of purchase, enrollment, activation or use.

Certain Platform features, including but not limited to access to customer inquiries, lead details, enhanced visibility, promotional placements, premium listings, profile enhancements, profile boosting services, advertising opportunities, marketing benefits, analytics tools or similar benefits, may only be available to Vendors enrolled in applicable Membership Plans.

All Membership Plan fees, subscription charges, promotional fees, profile enhancement/boosting fees, lead access fees and other charges payable to EventsMonial shall be payable in advance unless otherwise agreed in writing. Unless expressly stated otherwise in writing or required under applicable law, all such fees shall be non-refundable, including where a Vendor fails to utilise the services purchased, receives fewer inquiries than anticipated, experiences business losses, receives no bookings or is dissatisfied with the results obtained through the Platform.

EventsMonial may display, rank, sort, feature, highlight, promote, recommend through AI-powered tools or otherwise present Vendors on the Platform using factors that may include membership status, profile completeness, responsiveness, ratings, reviews, engagement levels, profile boosting services availed, promotional arrangements, visibility packages, vendor scores and any other criteria determined by EventsMonial from time to time entirely at its own discretion. Vendors acknowledge that enrollment in a Membership Plan or purchase of promotional services may affect the visibility, placement, prominence, ranking or presentation of their profiles on the Platform.

Membership Plans shall remain valid for the period specified at the time of purchase and shall automatically renew for successive renewal periods unless cancelled by the Vendor prior to the applicable renewal date. EventsMonial may notify Vendors of upcoming renewals, renewal fees or changes to Membership Plans through the Platform, email or any other reasonable means. Continued access to Membership Plan benefits following renewal shall be subject to payment of the applicable renewal fees in force at the time of renewal.

EventsMonial reserves the right to introduce, modify, suspend, discontinue, replace or update any Membership Plan, feature, benefit, eligibility criteria, pricing structure, ranking methodology, visibility package, promotional offering or Platform service at its discretion. Any such changes shall apply prospectively and shall not affect Membership Plans already purchased for their existing term unless otherwise required by law or expressly agreed.

EventsMonial does not collect, receive, process, hold, facilitate or manage payments between Customers and Vendors. Any payments relating to Vendor Services shall be arranged and made directly between the Customer and the Vendor. Vendors remain solely responsible for quotations, pricing, contracts, invoices, payment collection, refunds, cancellations, taxes and all commercial arrangements relating to their Vendor Services.

Vendors shall remain solely responsible for compliance with all applicable tax, accounting, invoicing, reporting and statutory obligations arising from their business operations and Vendor Services.

8. Customer Information & Platform Leads

Customer inquiry information shared through the Platform is provided solely for the purpose of enabling Vendors to assess, respond to and provide Vendor Services. Depending on the stage of the inquiry, EventsMonial may initially share limited inquiry related information and may subsequently disclose Customer contact details and other information necessary to facilitate a direct connection between the Vendor and the Customer.

Vendors shall use such information only for lawful business purposes connected with the relevant inquiry or Vendor Services and shall not misuse, sell, rent, transfer, publish, disclose, distribute or otherwise exploit such information for unrelated purposes, unsolicited marketing, spam, unlawful activities or in any manner prohibited by applicable law.

Any Customer Enquiry, lead, booking request, communication, contact information or business opportunity made available to a Vendor through the Platform constitutes a Platform generated lead. The Vendor shall not use such leads in a manner intended to circumvent the Platform, avoid applicable Membership Plan fees, lead access fees, promotional charges, subscription fees or any other amounts payable to EventsMonial. EventsMonial reserves the right to investigate suspected circumvention and may suspend, restrict or terminate Vendor access to the Platform where it has reasonable grounds to believe that a Vendor has engaged in such conduct.

EventsMonial reserves the right to suspend, restrict or terminate Vendor access where customer information, Platform leads or inquiry details are misused or where the Vendor engages in fraudulent, deceptive, abusive or unlawful conduct.

9. Licensing, Compliance & Regulatory Obligations

You represent that you hold and shall maintain all licences, permits, registrations, approvals and insurance required under applicable law for the lawful provision of your services. Any collection, review or verification of documents by EventsMonial is conducted solely for onboarding, compliance, fraud prevention, risk management, operational or platform administration purposes and shall not constitute certification, endorsement, approval, validation or a representation that you are compliant with applicable law.

You operate as an independent business and shall be solely responsible for compliance with all applicable laws, regulations, permits, licensing requirements, taxation obligations, consumer protection requirements, data protection obligations and industry specific requirements applicable to your business and Vendor Services. EventsMonial does not control your business operations and shall not be liable for any noncompliance on your part.

10. Data Protection & Privacy

When Customer details are shared with you through the Platform, such information is shared by EventsMonial in accordance with applicable law, the Privacy Policy and the permissions, consents or instructions provided by the Customer. Upon receipt of such personal data, you act as an independent Data Fiduciary in respect of such data and are solely responsible for determining the purposes and means of its processing in accordance with applicable data protection laws.

Customer information may only be used for responding to the relevant inquiry or booking and for no other unrelated purpose(s). You are expected to take reasonable measures to safeguard such data and to prevent unauthorised access, misuse or disclosure of the same. You hereby agree that any requests made by Customers for access, correction or deletion of their data from your databases must be handled by you in accordance with law.

EventsMonial does not control the systems used by Vendors and shall not be responsible for any data breach, misuse or non-compliance occurring at your end.

10.1 AI Processing of Vendor Information

The Vendor explicitly acknowledges and consents to the indexing, processing, and synthesis of their public profile data, portfolios, pricing structures, and historical customer review metrics by the Platform's artificial intelligence engine ("MONI") and any integrated third party artificial intelligence systems, large language models or similar technologies. This processing is performed solely to match, score, rank, and present Vendor services in response to automated user planning inquiries. The Vendor agrees that such automated AI evaluations or summaries do not constitute unauthorised modification of content or reputational harm, provided they are based upon data reasonably derived from the Vendor's profile or user feedback.

11. Ratings, Reviews & Content Moderation

Customer reviews and ratings reflect the personal opinions and experiences of Customers and do not constitute endorsements by EventsMonial. EventsMonial does not independently verify their accuracy and shall not be liable for the content of such reviews.

You may respond to reviews in a professional manner but shall not manipulate or suppress reviews. EventsMonial may consider reviews, ratings, responsiveness, profile completeness, membership status, vendor scores and other relevant factors when displaying, ranking, sorting, highlighting or presenting Vendor profiles on the Platform. EventsMonial shall have sole discretion regarding the manner in which Vendor profiles are displayed or presented.

12. Intellectual Property

All intellectual property rights in and to the Platform, including, but not limited to, its software, website design, layout, user interface, databases, algorithms, artificial intelligence systems, recommendation engines, machine learning models, prompts, outputs, workflows, trademarks, logos and proprietary content, excluding Vendor-submitted content, are owned by or licensed to EventsMonial and are protected under applicable intellectual property laws.

You only retain ownership of the intellectual property rights that are in your business name, your trademarks, your service descriptions, your branding materials and your original content submitted by you to the Platform. By submitting such content, you grant EventsMonial a nonexclusive, royalty free, worldwide, perpetual license to use, reproduce, display, adapt and distribute such content solely for the purposes of operating, marketing and promoting the Platform and/or your services, including on third party channels and promotional materials.

You represent and warrant that you own or have all the necessary rights, licences and permissions to use and submit your content and that such content does not infringe upon any third party intellectual property rights, privacy rights or publicity rights. You agree to indemnify EventsMonial against any claims, losses or liabilities arising from allegations that your content infringes or misappropriates third party rights.

You shall not copy, reproduce, reverse engineer, decompile, modify or otherwise exploit any portion of the Platform and/or EventsMonial's intellectual property without prior written consent. Any unauthorised use of the Platform or its intellectual property may attract civil and criminal liability as applicable under existing laws.

13. Termination

You may terminate your Vendor account at any time by providing notice to EventsMonial and discontinuing your use of the Platform. Such termination shall not affect any obligations owed by you to Customers arising from inquiries, engagements or service arrangements entered into prior to termination.

EventsMonial may suspend, restrict or terminate your Vendor account, listing or access to the Platform where there exists a reasonable basis to do so, including but not limited to breach of these Vendor Terms, legal or regulatory noncompliance, fraud, misconduct, misuse of the Platform, submission of false, misleading or inaccurate information, violation of applicable law, operational requirements, risk management concerns or where otherwise required by law. Additionally, EventsMonial reserves the right to terminate a Vendor's account, remove their listings, or restrict access to the Platform for convenience and without assigning any cause but with reasonable notice communicated via email or dashboard notification. In appropriate cases, including fraud, unlawful conduct, serious misconduct or material breach of these Vendor Terms, such suspension or termination may take effect immediately.

Upon termination or suspension, EventsMonial may remove or deactivate your Vendor profile, listings, content, Membership Plans, lead access services, profile enhancement features, promotional services and other Platform related benefits. Unless otherwise required by applicable law or expressly agreed in writing, any fees paid to EventsMonial prior to termination shall remain non-refundable.

EventsMonial may retain Vendor information, records, communications, inquiry data and related information following termination to the extent required or permitted by applicable law, for compliance purposes, dispute resolution, fraud prevention, enforcement of legal rights or legitimate business purposes.

Termination shall not affect any accrued rights, remedies or obligations of either party, including indemnity obligations, intellectual property rights, confidentiality obligations, data protection obligations and any provisions which by their nature are intended to survive termination.

14. Limitation of Liability

To the fullest extent permitted under applicable law, EventsMonial's total aggregate liability arising out of or relating to the Platform, these Vendor Terms or the relationship between EventsMonial and the Vendor shall not exceed INR 10,000 (Rupees Ten Thousand Only).

In no event shall EventsMonial be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data or reputational harm, whether arising in contract, tort or otherwise.

EventsMonial shall not be liable for any acts, omissions, misconduct, non-performance, delays, cancellations, disputes or failures involving Customers, other Vendors, third parties, software providers, artificial intelligence service providers, cyber incidents, security breaches, force majeure events or circumstances beyond EventsMonial's reasonable control.

15. Indemnification

Notwithstanding anything contained in these terms, you agree to defend, indemnify and hold harmless EventsMonial, its affiliates, officers, directors, employees, agents and representatives from and against any claims, actions, proceedings, demands, losses, liabilities, damages, penalties, fines, costs and expenses (including reasonable legal fees) arising out of or relating to your Vendor Services, your acts or omissions, negligence, misconduct, fraud, breach of these Vendor Terms, violation of applicable law, misuse of Customer information, personal data or confidential information, content submitted by you or any complaint, claim, investigation, regulatory action or proceeding brought by a Customer, government authority or other third party in connection with your services, conduct or business operations.

This indemnity shall also apply to any bodily injury, death, property damage, theft, fraud, reputational harm or other losses arising from your acts or omissions and shall survive the suspension, termination or expiry of these Vendor Terms.

EventsMonial shall be entitled to seek injunctive, equitable or other appropriate relief(s) in the event of any actual or threatened breach of these Vendor Terms, in addition to any other rights or remedies available under applicable law.

16. Governing Law

All disputes arising out of these Terms shall be governed by the laws of India. The courts at Kolkata shall have exclusive jurisdiction, to the exclusion of all other courts.

17. General Provisions

17.1 Entire Agreement and Amendments: These Vendor Terms, together with the Privacy Policy available at Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and EventsMonial with respect to your use of the Platform and supersede all prior discussions, understandings or agreements relating thereto.

EventsMonial may amend these Vendor Terms from time to time and shall notify Vendors of material changes through the Platform, email, dashboard notifications or other reasonable means. Continued use of the Platform following such notification shall constitute acceptance of the revised Vendor Terms.

17.2 Severability and Waiver: If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions. Any failure or delay by EventsMonial in enforcing any right or provision under these Terms shall not operate as a waiver of such right or provision, nor shall any partial exercise of any right or remedy prevent its further exercise.,

17.3 Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of EventsMonial. EventsMonial may assign its rights and obligations under these Terms to any third party, including in connection with a merger, acquisition, reorganization, or sale of assets. Nothing contained in these Terms shall be construed as creating any partnership, agency, joint venture, employment, fiduciary, or representative relationship between you and EventsMonial.

17.4 Force Majeure: EventsMonial shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, public health emergencies, war, terrorism, riots, civil unrest, government orders or restrictions, labor disputes, power or internet failures, or cyber incidents. During the continuance of such force majeure events, EventsMonial's obligations shall stand suspended to the extent affected.

17.5 Notices, Language, and Interpretation: Any legal notices to EventsMonial shall be sent to the contact details provided on the Platform, and notices to you may be communicated via email, in-app notifications, or posting on the Platform. These Terms are drafted in the English language, and in the event of any inconsistency between the English version and any translated version, the English version shall prevail. Section headings are included for convenience only and shall not affect the interpretation of these Terms.

18. Grievance Redressal for Vendors

EventsMonial has appointed a Grievance Officer to address Vendor complaints. Complaints shall be acknowledged within forty-eight (48) hours and addressed within thirty (30) days in accordance with applicable law. 19. Acknowledgment & Acceptance

By using the Platform as a Vendor, you confirm that you have read and accepted these Vendor Terms and acknowledge that EventsMonial operates solely as a technology intermediary. If you do not agree to these Terms, you must not use the Platform.
